Terms of service

These terms are the agreement between you and us on using miniDesk.ai. By creating an account you accept them. They are written to be read, so please do.
1Introduction and acceptance
miniDesk.ai is operated by MP Enterprise, SIREN 838786085, registered in France. "We" and "us" mean MP Enterprise. "You" means the business or person holding the account. Creating an account, calling the API, connecting the MCP server or putting the chat widget on your site means you accept these terms. If you are signing up for a company, you confirm you are allowed to commit that company. If you do not accept them, do not use the product.
2Definitions
A few words used throughout, so they mean the same thing every time.
- The service is everything we run under miniDesk.ai: the dashboard, the shared inbox, the chat widget, the knowledge base, the REST API and the MCP server.
- A workspace is one support desk. It has its own plan, its own quota, its own members and its own data.
- A conversation counts from the first message either side sends, and stays one however long the thread runs.
- Your content is everything you or your customers put into a workspace: tickets, messages, attachments, customer records and knowledge base articles.
- An end customer is somebody who writes to you through the widget, by email or through a form. They are your customer, not ours.
- A credential is an API key or a token we issue you. Anyone holding one can act as you.
3Your account
You need an account to use the product, and each workspace has an owner who is responsible for it.
- You must be 18 or older and able to enter into a contract.
- Give us accurate details and keep your login credentials to yourself.
- You are responsible for everything done under your account, including what the people you invite do in your workspace.
- The owner can change plans, manage billing, invite and remove members, and delete the workspace.
- Tell us at hello@minidesk.ai if you think an account has been compromised.
- Do not open several accounts to get around a quota, a price or an enforcement decision.
4What the service is
A helpdesk: a shared inbox, a chat widget, a knowledge base, a REST API, an MCP server, and an AI assistant that drafts and can send replies. We add and improve features over time. If we ever have to remove something you rely on, we will give you at least 30 days notice by email, and you can cancel if the change does not work for you. Anything we label beta is there for you to try and comes with no promises: it can change or disappear without notice.
5Quotas and limits
Each plan comes with a monthly allowance of conversations, a number of seats, and a daily allowance of AI tokens. The pricing page carries the current figures, and all three are per workspace: two websites means two workspaces and two plans.
- Going over an allowance does not stop your support work. It limits the feature that ran out until the allowance resets, or until you move up a plan.
- Conversations reset monthly on your billing date. AI tokens reset daily, so the most a drained allowance costs you is the rest of the day.
- There are no overage charges. We hold the feature rather than send you a bigger bill.
- We can throttle a workspace whose traffic threatens the service for everybody else. We will tell you when we do, and why.
- The API is versioned. If we retire a version we will announce it and give you time to move across.
6Acceptable use
Use it to support your own customers, lawfully.
- Follow the law that applies to you, including data protection law and the rules on unsolicited messages.
- Have a lawful basis for the personal data you put into a workspace, and tell your own customers what you do with it.
- Answer your customers' data requests. You control that data and we only hold it for you, so those requests are yours to handle.
- Keep your credentials secret, and rotate one the moment you think it has leaked.
- Tell your customers when they are talking to an AI, wherever the law where you operate asks you to.
7What you may not do
None of the following, on any plan. This is the one section where we can suspend or close an account immediately and without a refund.
- Anything illegal, or anything that infringes someone else's rights.
- Sending unsolicited bulk email or messages, or using the product as a marketing sender.
- Harassment, abuse, or impersonating a person or an organisation.
- Uploading malware, running phishing, or harvesting credentials.
- Trying to break, overload or reverse engineer the service, or scraping it outside the API.
- Getting around quotas, rate limits or the billing system.
- Reselling raw access to the service as your own without a written agreement with us.
8Pricing, billing and payment
There is a free plan and there are paid plans. The pricing page carries the current price of each.
- Prices are in US dollars and exclude tax. VAT or sales tax is added where it applies, based on where you are.
- Paid plans are billed monthly in advance through Stripe, on the same day your allowance resets. Subscribing authorises that recurring charge.
- Each workspace has its own subscription. Owning several workspaces means several subscriptions.
- Changing plan is prorated by Stripe: an upgrade is charged for the rest of the current period, a downgrade credits the unused part.
- If we change a price we will email account owners at least 30 days before it applies, and never inside a period you have already paid for.
- We do not refund part months, and we do not refund an account closed for breaking these terms.
9If a payment fails
Our payment provider retries your payment method up to 3 times over 10 days, counted from the first failure. Access continues for the whole of that window, because a card that expired over a holiday should not stop your customers being answered, and we will email the owner. If every attempt fails, the workspace moves to the free plan and lives under its limits until the balance is paid.
- Nothing is deleted for non-payment. Your tickets, your history, your knowledge base and your settings stay exactly where they are.
- Reading, searching and exporting are never blocked, whatever plan you are on and whatever state the account is in.
- What changes is the quota. Past the free plan's allowance a workspace stops opening new conversations and stops sending public replies until the counter resets or the balance is paid. Internal notes keep working, so your team can still coordinate on a thread.
- Paying brings the plan straight back. There is nothing to restore and nothing to set up again.
10The free plan
The free plan holds the entire product on a smaller quota and fewer seats, and it carries a small powered by miniDesk mark on the chat widget. It is a real place to run a small desk from, not a trial that expires. We can change what it includes with at least 30 days notice by email. We can also close a free workspace that has sat untouched for a long stretch, and if we ever do we will email the owner first and give at least 14 days to keep it.
11AI features
The assistant writes drafts, suggests answers and, when you turn automation on, sends replies by itself. It is a language model and it can be wrong. You decide how much rope it gets, per workspace, and you remain responsible for what goes out under your name. Keep a human in the loop for anything that carries legal, financial or safety weight. We do not warrant that any AI output is accurate, complete or suitable for a given purpose. Your content is not used to train models, by us or by the provider we send it to.
12Your content stays yours
Tickets, messages, articles, customer records and files remain yours. You give us the permission we need to host, transmit, index and display them so the product can work, and nothing beyond that. We do not use your content to build anything for another customer. You confirm you have the right to put the data into the product, including personal data about your own customers.
13Our intellectual property
The product itself is ours.
- The dashboard, the widget, the API, the MCP server, the documentation, this site and the miniDesk name and marks belong to MP Enterprise.
- While your account is open you have a licence to use the service. It is limited, non-exclusive, you cannot transfer it, and it ends when the account does.
- Anything you build on top of the API is yours.
- If you send us feedback or a feature request, we can use it without owing you anything.
- Open source components we ship are covered by their own licences.
14Data protection
For the personal data inside your workspace you are the controller and we are the processor. Our privacy notice explains what we hold and why, and it forms part of these terms. Our data processing agreement covers the processor obligations under Article 28 of the GDPR. Ask us at hello@minidesk.ai for a signed copy and for the current list of sub-processors.
15Third-party services
Parts of the product depend on other companies: Stripe for payments, our model provider for AI features, Cloudflare for inbound email and for keeping attacks off the service, and our hosting provider for the servers and backups. They are named in the privacy notice. We pick them carefully and we do not control them, so an outage or a change at one of them can affect the service, and that is not something we can be liable for. It runs the other way too: a mail provider that files our email as spam, or a browser that blocks the widget, is outside what we can fix.
16Availability and support
We work to keep the service up and we do not promise it will never be down. Maintenance, a failing dependency or an incident can interrupt it, and we will give notice by email where maintenance is planned and likely to be noticed. Unless you have a separate written service level agreement with us, this paragraph is the only commitment we make on availability, and there are no service credits. 17Liability
The service is provided as is, and to the extent the law allows we exclude implied warranties. Neither of us is liable for indirect or consequential loss, lost profit, or lost data beyond what our backups hold. Our total liability in any 12 month period is capped at what you paid us over those 12 months. Nothing here excludes liability for fraud, for gross negligence, for death or personal injury caused by negligence, or for anything else the law says cannot be excluded, and if you are a consumer your statutory rights are untouched.
18Indemnity
If somebody brings a claim against us because of what you did with the service, you cover us for it: the damages, our costs and the legal fees. That covers your use of the product, your breach of these terms, the content you send through it, and the personal data you put into it. We will tell you about any such claim promptly and let you run the defence.
19Suspension and termination
Either of us can bring this to an end.
- You can cancel at any time from Settings. There is no notice period and no cancellation fee, and your plan runs to the end of the period you have paid for.
- We can suspend an account that breaks these terms, puts the service or other customers at risk, or is being used for something illegal. Except in an emergency we will warn you first, in writing, and give you a chance to fix it.
- We can close an account immediately, without a refund, for anything in the section on what you may not do.
- We can close an account for any other reason with 30 days notice by email, and we will refund the unused part of what you paid.
- Deleting a workspace stops the billing straight away, ends our processing, and erases the data permanently within 60 days. Export anything you want to keep before you press the button.
- The sections on intellectual property, liability, indemnity, data protection and governing law carry on after the account is gone.
20Changes to these terms
We can update these terms. Material changes are emailed to account owners at least 30 days before they take effect, with a short note of what changed. Carrying on using the product after that date is how you accept them. If you do not accept them, cancel before that date and the old ones apply until your paid period ends. Fixing a typo or making a sentence clearer does not need notice.
21Governing law and disputes
French law governs these terms, and we will try to settle anything between us before it goes further than that.
- Write to us first at hello@minidesk.ai. Most things are settled in an email, and we will keep trying for 30 days before either of us does anything else.
- If that fails, the courts of Paris have jurisdiction.
- If you are a consumer, you keep the protection of the law of the country you live in and can use the European Commission's online dispute resolution platform.
22General
The clauses that do not belong anywhere else.
- These terms, the privacy notice and any data processing agreement are the whole agreement between us, and they replace anything said before.
- If a clause turns out to be unenforceable, the rest of them still stand.
- Not enforcing something once does not mean we have given it up.
- You cannot transfer this agreement without our written consent. We can, if the business is sold or merged, and we will tell you.
- Neither of us is liable for a failure caused by something genuinely outside our control: a natural disaster, war, a government order, a nationwide power or internet failure, or the collapse of a service we depend on.
